Conditions générales de vente

JANVIER LABS est une société par actions simplifiée, de droit français, ayant son siège social au Genest Saint Isle (53940) – Route des Chênes Secs, immatriculée au Registre du Commerce et des Sociétés de Laval sous le numéro 340 663 079.

JANVIER LABS est spécialisée dans la production, l’élevage et la vente de rongeurs destinés à être utilisés dans le cadre de procédures expérimentales à des fins scientifiques (les « MODELES DE RECHERCHE»), et de leurs produits dérivés ; ainsi que dans la fourniture de services de laboratoire, de sciences de la reproduction, ou d’élevage à façon et leurs produits ou prestations accessoires, même vendus isolément (les « SERVICES»).

CHAMP D’APPLICATION

  1. Conformément à l’article L 441-1 III du Code de commerce les présentes conditions générales de vente («CGV») constituent le socle unique de la relation commerciale entre les Parties.

Elles s’appliquent à l’ensemble des ventes de JANVIER LABS à ses clients, acheteurs professionnels (le « CLIENT »), de MODELES DE RECHERCHE, de leurs produits dérivés et sous-produits, ou de SERVICES (ensemble les « PRODUITS »), tels que ces PRODUITS sont décrits au catalogue de JANVIER LABS (le « CATALOGUE »), sur son site internet http/www.janvier-labs.com, et/ou dans les devis, offres ou documents équivalents émanant de JANVIER LABS.

  1. Les renseignements figurant sur le CATALOGUE, les prospectus et le tarif de JANVIER LABS, sont donnés à titre indicatif. Ils sont modifiables à tout moment par JANVIER LABS.
  2. Les CGV sont jointes au CATALOGUE et remises par JANVIER LABS à chaque commande.

En passant commande, le CLIENT reconnaît avoir pris connaissance de ces CGV, et les accepter sans réserve (la « COMMANDE »). Il s’engage au respect des présentes CGV par ses employés et tout tiers collaborant aux recherches qu’il mène ou auxquelles il participe.  Il renonce de ce fait, à se prévaloir de tout document contradictoire et, notamment, ses propres conditions générales d’achat.

Les dérogations aux présentes CGV négociées entre les Parties, devront faire l’objet d’un accord écrit préalable à leur application, validé par JANVIER LABS.

  1. Le fait de ne pas exercer, à un moment quelconque, une prérogative reconnue par les présentes CGV, ou de ne pas exiger l’exécution de l’une de leurs clauses, ne peut en aucun cas s’interpréter comme une modification, ni comme une renonciation expresse ou tacite au droit d’exercer ladite prérogative ou d’en exiger l’exécution dans l’avenir.

 VALIDITE DES CONDITIONS GENERALES

  1. JANVIER LABS se réserve la possibilité de modifier ses CGV à tout moment. Les nouvelles CGV seront applicables aux COMMANDES passées après leur publication.
  2. Les CGV en vigueur sont publiées sur le site internet de JANVIER LABS. Elles sont donc disponibles à tout moment.

FORMATION DE LA COMMANDE

JANVIER LABS peut dispenser des conseils dans le cadre de la passation de la COMMANDE. Cependant, en tant que professionnel spécialisé dans le domaine de la recherche, le CLIENT reste entièrement et seul responsable de son choix de COMMANDE et du caractère complet des informations qu’il a fournies à JANVIER LABS.

Devoir d’information du CLIENT et prérequis :

En particulier en matière de SERVICES à réaliser sur du matériel biologique fourni par le CLIENT  ou par un tiers à la demande du CLIENT (le « MATERIEL BIOLOGIQUE »), le CLIENT s’engage à fournir au préalable, à JANVIER LABS, dans la demande de devis, toutes les informations dont il dispose concernant le MATERIEL BIOLOGIQUE, notamment les éventuelles difficultés de performance de reproduction de la ou des lignées de rongeurs concernées, qui peuvent avoir des conséquences pour la réalisation des SERVICES.

Lorsque le MATERIEL BIOLOGIQUE contient des OGM, il doit correspondre à la classe OGM de risques I, à l’exclusion de toute autre classe de risque. Le CLIENT devra communiquer à JANVIER LABS une copie du récépissé de sa déclaration, ou une copie de l’agrément faisant apparaître le ou les projets impliquant les OGM concernés.

Le MATERIEL BIOLOGIQUE doit être exempt de zoonose.

Ces informations fournies par le CLIENT en matière de SERVICES, dont la Fiche d’Information Projet, et les CGV dans tous les cas, font partie intégrante de la COMMANDE.

Commande :

Pour valoir COMMANDE, l’offre ou le devis doit être accepté par écrit, dont les courriels, et reçu par JANVIER LABS avant la fin de validité de l’offre. La COMMANDE n’est valablement formée qu’après son acceptation expresse par JANVIER LABS, et paiement de l’acompte éventuellement stipulé. JANVIER LABS adresse ensuite au CLIENT un accusé de réception de commande («ARC »). Le CLIENT dispose d’un délai de 12 heures pour vérifier le contenu de l’ARC et formuler toutes observations. En cas de divergence entre l’ARC et la COMMANDE, l’ARC prévaudra.

Dans le cas où le SERVICE nécessite une autorisation du Ministère de l’enseignement supérieur et de la recherche (MESR), la validité de la COMMANDE est conditionnée à l’autorisation accordée par le MESR à JANVIER LABS.

  1. JANVIER LABS se réserve la possibilité de suspendre ou de refuser toute nouvelle commande du CLIENT en cas d’impayé ou de doute quant à sa solvabilité, sans que le CLIENT puisse arguer d’un refus de vente injustifié, ou prétendre à une quelconque indemnisation.

MODIFICATION/ANNULATION DE LA COMMANDE

  1. Passé ce délai de 12 heures après envoi de l’ARC, les COMMANDES sont irrévocables.
  2. Les éventuelles modifications demandées par le CLIENT ne pourront être prises en compte, dans la limite des possibilités de JANVIER LABS et à sa seule discrétion, que si elles sont formées par écrit, avant la date prévue pour la livraison ou l’exécution des PRODUITS concernés. JANVIER LABS pourra subordonner la modification de la COMMANDE à la signature par le CLIENT d’un bon de commande spécifique, notamment en cas d’ajustement du prix et du délai de livraison.
  3. En cas d’annulation de la COMMANDE par le CLIENT après l’ARC, pour quelque raison que ce soit, hormis la force majeure, l’acompte versé sera de plein droit acquis à JANVIER LABS, et viendra en déduction du montant des pénalités ou des coûts mentionnés ci-après, s’ils sont supérieurs.

En toute hypothèse, le CLIENT devra s’acquitter selon le cas :

  • Pour les SERVICES : (i) de la partie des SERVICES déjà réalisée, (ii) de toute dépense engagée par JANVIER LABS pour l’exécution du SERVICE et non annulable, ainsi que (iii) des dépenses et coûts induits pour JANVIER LABS par cette annulation de COMMANDE.
  • Pour les MODELES DE RECHERCHE, leurs produits dérivés et sous-produits : d’une pénalité calculée sur le montant total hors taxes des MODELES DE RECHERCHE, produis dérivés ou sous-produits concernés, selon le nombre de jours ouvrés restant à courir entre la date de livraison fixée à l’ARC, et la date de réception par JANVIER LABS de la demande d’annulation de la COMMANDE.

Ainsi : Pour les COMMANDES de MODELES DE RECHERCHE non mutants, âgés de moins de 3 mois, leurs produits dérivés ou sous-produits mentionnés au CATALOGUE : Si la demande est reçue

  • 28 à 22 jours avant la date de livraison, la pénalité sera de 10 %
  • 21 à 15 jours avant la date de livraison, la pénalité sera de 25 %
  • 14 à 8 jours avant la date de livraison, la pénalité sera de 50 %
  • 7 à 3 jours avant la date de livraison, la pénalité sera de 75 %
  • Moins de 3 jours avant la date de la livraison, la pénalité sera de 100 %

Pour les COMMANDES de MODELES DE RECHERCHE non mutants, âgés de 3 à 18 mois, leurs produits dérivés et sous-produits mentionnés au CATALOGUE : si la demande est reçue

  • 28 à 22 jours avant la date de livraison, la pénalité sera de 10 %
  • 21 à 15 jours avant la date de livraison, la pénalité sera de 25 %
  • 14 à 8 jours avant la date de livraison, la pénalité sera de75 %
  • Moins de 8 jours avant la date de livraison, la pénalité sera de 100 %

Pour les COMMANDES de MODELES DE RECHERCHE de 19 mois et plus, leurs produits dérivés et sous-produits, et pour toutes les COMMANDES de MODELES DE RECHERCHE mutants, leurs produits dérivés et sous-produits mentionnés au CATALOGUE : si la demande est reçue

  • Plus de 30 jours avant la livraison, la pénalité sera de 50 %
  • 30 jours et moins avant la livraison, la pénalité sera de 100 %

Pour les autres COMMANDES de MODELES DE RECHERCHE, leurs produits dérivés et sous-produits non mentionnés ou dont les particularités ne sont pas prévues au CATALOGUE, la pénalité sera de 100 %,  soit le montant total hors taxes de la COMMANDE, quel que soit le délai de prévenance.

TRANSPORT

Sauvegarde

Avant le transfert du MATERIEL BIOLOGIQUE, le CLIENT doit réaliser une sauvegarde de la lignée correspondante, jusqu’à ce que JANVIER LABS lui confirme la réalisation de la prestation de laboratoire ou de sciences de la reproduction ou jusqu’à ce que la première cohorte d’animaux issue du service   d’élevage à façon, lui soit livrée ou soit livrée au tiers qu’il a désigné.

Enlèvement du MATERIEL BIOLOGIQUE

Le CLIENT est responsable de la préparation, de l’emballage, du conditionnement, et de l’étiquetage des colis conformément aux réglementations applicables dans tous les pays de transit.

Il doit fournir l’ensemble des informations et documents requis par JANVIER LABS ou le transporteur, dans un délai maximal de cinq (5) jours ouvrés précédant l’enlèvement du MATERIEL BIOLOGIQUE. Cette obligation concerne notamment les autorisations requises par la règlementation en vigueur relative aux OGM.

Transfert des risques

Le transfert des risques et de la propriété des PRODUITS et/ou des résultats des SERVICES (les « RESULTATS ») s’opère au lieu de livraison convenu, dès leur réception matérielle par le CLIENT. Sauf dispositions contraires stipulées sur l’ARC ou à défaut de précisions sur cet ARC, le transfert des risques sur les PRODUITS ou les RESULTATS s’opère selon FCA Incoterm CCI 2010. De même sauf dispositions contraires stipulées sur l’ARC, ou à défaut de précisions sur cet ARC, le transfert des risques sur le MATERIEL BIOLOGIQUE adressé à JANVIER LABS s’opère selon  DDP Incoterm CCI 2010.

LIVRAISON – RECEPTION

  1. Les délais contractuels sont fixés dans l’ARC.

Les retards de livraison des PRODUITS et/ou des RESULTATS, ou d’exécution des SERVICES, ne peuvent pas motiver l’annulation ni la résolution de la COMMANDE.

  1. A la réception des PRODUITS et/ou des RESULTATS, le CLIENT procède à un contrôle de leur conformité apparente, et formule ses réserves sur le bon de livraison. Ces réserves doivent être émises et confirmées par écrit dans les trois (3) jours qui suivent la réception, tant auprès du transporteur que de JANVIER LABS, conformément aux dispositions de l’article L 133-3 du code de commerce concernant les avaries et pertes de transport, et à la volonté ici exprimée par les Parties pour la non-conformité apparente. A défaut les PRODUITS et/ou les RESULTATS sont réputés conformes et définitivement agréés sans réserve par le CLIENT.
  2. En cas de vice inhérent aux PRODUITS et/ou aux RESULTATS livrés, caché à la réception, et qui se révèlerait dans le délai maximal de quatorze (14) semaines à compter de la date d’expédition, le CLIENT devra présenter sa réclamation sans délai. Après expiration de cette période de garantie de quatorze (14) semaines, aucun recours contre JANVIER LABS pour défauts cachés ne sera recevable.
  3. Les allégations de non-conformité ou de vice caché ne seront traitées par JANVIER LABS que si elles sont effectuées par écrit, dont les courriels, dans les délais et formes précités. Il appartient au CLIENT de fournir, lors de sa réclamation, tous les justificatifs quant à la réalité des vices ou non-conformité allégués.

 

Le CLIENT doit permettre à JANVIER LAB de mener les vérifications appropriées qu’elle estime nécessaire, incluant les visites sur site du CLIENT, avec les experts de JANVIER LABS.

  1. Pour des raisons sanitaires, aucun retour de MODELES DE RECHERCHE, de leurs produits dérivés ou sous-produits et/ou de RESULTATS ne peut être réalisé sans l’accord préalable de JANVIER LABS. Si un retour est convenu, seul le transporteur choisi par JANVIER LABS est habilité à l’effectuer.

JANVIER LABS ne prendra en charge les frais de retour que si l’anomalie régulièrement déclarée a effectivement été constatée par elle ou son mandataire, et si JANVIER LABS en est responsable.

 

  1. En tout état de cause, en cas de constat d’anomalie, le CLIENT doit prendre immédiatement toute mesure nécessaire pour éviter l’aggravation et/ou la propagation de cette anomalie et des dommages associés.
  2. La réclamation ne suspend pas l’obligation de paiement du CLIENT pour les COMMANDES concernées sans préjudice de la clause de réfaction de prix ci-après prévue.

PRIX

  1. Le prix des PRODUITS est déterminé à partir du tarif en vigueur. Le prix d’une offre n’est valable que pendant la période de validité de cette offre.
  2. Les prix sont unitaires et définis pour une période et/ou pour un volume et/ou une capacité convenu.e.s et réalisé.e.s. Sauf accord écrit contraire de JANVIER LABS, les prix s’entendent nets et sans escompte, départ usine/ EX WORKS Incoterm CCI 2010 et hors emballage, celui-ci étant facturé en plus sur la base du prix CATALOGUE. Ils ne comprennent notamment pas le transport, les frais de douane, les taxes éventuelles, les assurances, lesquels restent à la charge du CLIENT.

Les taxes et droits dus sont calculés au jour de la facturation des COMMANDES, conformément aux textes et lois en vigueur. Les éventuelles variations de taux de taxe seront intégralement répercutées sur le prix. Tout droit, taxe ou prélèvement imputé sur le paiement du prix par le CLIENT reste à sa charge. Le CLIENT doit alors compléter le paiement du prix afin que JANVIER LABS reçoive effectivement le prix net convenu.

  1. Les tarifs sont révisés annuellement avec effet au 1er janvier. Sauf disposition contraire de l’ARC, les SERVICES renouvelés ou prorogés sont soumis à la révision annuelle des prix. Le prix révisé chaque année sera fixé à partir du tarif en vigueur pour le SERVICE concerné.

 

  1. Sauf prorogation expresse prévue à l’ARC, le SERVICE est renouvelé tacitement pour une durée indéterminée, à moins que l’une des Parties ait notifié son intention de ne pas renouveler le SERVICE, un (1) mois au minimum avant le terme de la période initiale, par lettre recommandée avec avis de réception. Une fois renouvelée ou prorogée, la COMMANDE de SERVICES pourra être résiliée à tout moment, moyennant un préavis d’un (1) mois, adressé par lettre recommandée avec avis de réception.

MODALITES DE PAIEMENT

  1. Sauf stipulation contraire de l’ARC ou accord exprès écrit différent, accepté séparément par JANVIER LABS, le prix est payable en euros, par virement bancaire, en respectant la domiciliation bancaire indiquée par JANVIER LABS.
  2. Les factures sont payables trente (30) jours fin de mois à compter de leur date d’émission. Aucun escompte ne sera pratiqué par JANVIER LABS pour paiement comptant ou effectué avant la date d’échéance de la facture.
  3. Un acompte peut être demandé sur toute vente de PRODUITS.

Pour les SERVICES l’acompte est de 50 % (sauf mention contraire sur l’ARC). Les frais de transport et de rapatriement seront facturés à la réception du MATERIEL BIOLOGIQUE, dans les locaux de JANVIER LABS.

L’acompte devra être réglé comptant, à réception de facture, dans les formes prévues à l’alinéa 1 du présent article.

  1. Les modalités de paiement accordées par JANVIER LABS au CLIENT sont fonction de sa solvabilité, de son profil payeur ou du risque pays. JANVIER LABS peut demander à tout moment au CLIENT, y compris en cours d’exécution d’une COMMANDE, de lui communiquer ses documents comptables, notamment ses comptes de résultat, même prévisionnels. De même, s’il a des raisons sérieuses ou particulières de craindre des difficultés de paiement (première commande, dégradation du compte CLIENT, perte ou diminution de garantie…) JANVIER LABS peut subordonner l’acceptation ou la poursuite de l’exécution de la ou des COMMANDES actuelles et/ou futures, selon son choix : (i) au paiement d’un acompte partiel ou total, (ii) à la constitution d’une garantie bancaire suffisante ou (iii) à un paiement comptant.

Si le CLIENT refuse de communiquer ses comptes ou ne respecte pas les conditions de paiement de la/des COMMANDE(S), JANVIER LABS pourra suspendre l’exécution des COMMANDES en cours, et refuser de livrer ou d’exécuter les PRODUITS concernés, sans que le CLIENT ne puisse arguer d’un refus de vente injustifié, ni prétendre à une quelconque indemnité.

  1. Sauf accord exprès, préalable et écrit de JANVIER LABS, et à condition que les créances et dettes réciproques soient certaines, liquides et exigibles, aucune compensation ne pourra être valablement effectuée entre d’éventuelles pénalités à la charge de JANVIER LABS d’une part, et les sommes dues par le CLIENT à JANVIER LABS d’autre part.
  2. Tout retard de paiement entraine de plein droit au profit de JANVIER LABS des intérêts moratoires au taux d’intérêt appliqué par la Banque centrale européenne à son opération de refinancement la plus récente (au 1er janvier pour le 1er semestre, au 1er juillet pour le 2nd semestre), majoré de dix (10) points, et calculés sur les sommes dues, par jours de retard constatés, à compter du 1er jour de retard, jusqu’à leur complet paiement. Le paiement s’entend du jour où l’intégralité des sommes dues crédite le compte de JANVIER LABS.

Le CLIENT doit également verser une indemnité forfaitaire de quarante (40) euros par facture impayée, au titre des frais de recouvrement, sans préjudice du droit pour JANVIER LABS de solliciter une indemnisation complémentaire, si les frais de recouvrement effectivement engagés dépassaient ce montant.

Ces pénalités seront portées d’office au débit du compte du CLIENT.

  1. Enfin, en cas de non-paiement d’une facture à son échéance, et sans préjudice de la clause résolutoire prévue ci-après, JANVIER LABS pourra prononcer la déchéance du terme de toutes les factures émises, suspendre l’exécution de toute COMMANDE en cours et à venir, et/ou en exiger leur paiement comptant, après l’envoi d’une mise en demeure restée sans effet huit (8) jours calendaires après sa réception.

CONFORMITÉ – GARANTIE

  1. JANVIER LABS garantit qu’elle dispose des autorisations administratives nécessaires à l’exercice de ses activités.
  2. De son côté, le CLIENT est responsable de la régularité de ses activités, de son MATERIEL BIOLOGIQUE, de ses protocoles de recherche et de l’utilisation des PRODUITS et des RESULTATS par rapport à la loi qui lui est applicable.
  3. JANVIER LABS garantit des PRODUITS conformes à l’ARC, dans le cadre de son obligation de moyens. Elle bénéficie par ailleurs des tolérances d’usage en son domaine.

JANVIER LABS n’est en aucun cas responsable du chef de la composition et des caractéristiques du MATERIEL BIOLOGIQUE.

Afin de faire valoir ses droits, le CLIENT devra, sous peine de déchéance de toute action s’y rapportant, informer JANVIER LABS, dans les formes et délais fixés à l’article « LIVRAISON – RECEPTION » ci-dessus.

  1. JANVIER LABS réalise un contrôle sanitaire régulier, dont les modalités et les résultats sont accessibles sur son site internet ou sur demande. Elle s’engage à fournir les informations strictement nécessaires à la bonne exécution et au suivi des COMMANDES. JANVIER LABS délivre à la livraison des MODELES DE RECHERCHE et/ou des RESULTATS, un certificat sanitaire correspondant au statut SPF ou SOPF qu’elle a défini, et qui a été choisi par le CLIENT à la COMMANDE.

Pour exécuter les SERVICES qui lui sont commandés, JANVIER LABS décide seule des soins et des critères d’utilisation du MATERIEL BIOLOGIQUE au regard de l’AAALAC.

JANVIER LABS conserve la possibilité de mettre à mort les animaux en souffrance, constitutifs du MATERIEL BIOLOGIQUE ou des RESULTATS, selon une grille de douleur prédéfinie avec le Comité d’Ethique interne à JANVIER LABS. Cette grille de douleur est communiquée au CLIENT sur demande

En tout état de cause, la délivrance du certificat sanitaire ne dispense pas le CLIENT d’appliquer ses propres règles de biosécurité, et d’assurer son propre programme sanitaire.

  1. Le poids et/ou âge des MODELES DE RECHERCHE et des RESULTATS indiqué sur les bons de livraison, est celui qu’ils ont au moment de leur conditionnement pour envoi, dans les locaux de JANVIER LABS.
  2. Concernant les femelles gestantes:
  • JANVIER LABS garantit la gestation dans des conditions propres à chaque souche de MODELES DE RECHERCHE présentée dans le CATALOGUE,
  • JANVIER LABS ne garantit ni le nombre d’animaux par portée, ni la date exacte de mise bas,
  • JANVIER LABS ne garantit pas les risques d’interruption de gestation pendant le transport si la gestation est, soit inférieure à cinq (5) jours (au moment de leur conditionnement pour livraison), soit supérieure aux 2/3 du temps de gestation de la souche concernée.

PROPRIETE

  1. Le CLIENT déclare disposer des droits et titres nécessaires pour confier le MATERIEL BIOLOGIQUE à JANVIER LABS, pour réaliser les SERVICES commandés.

JANVIER LABS n’acquiert aucun droit sur le MATERIEL BIOLOGIQUE et les RESULTATS que sont notamment les descendants et dérivés des souches confiées.

  1. Les souches murines décrites dans le CATALOGUE demeurent la propriété et/ou restent sous le contrôle exclusif de JANVIER LABS, qui conserve l’ensemble des droits de propriété intellectuelle afférents aux PRODUITS, photos et documentations techniques. Ceux-ci ne peuvent pas être communiqués ni transférés sans l’autorisation écrite de JANVIER LABS.

De même, toute méthode, protocole, savoir-faire mis en œuvre au cours de l’exécution des SERVICES, et développé par JANVIER LABS ou par un tiers précédemment à l’exécution des SERVICES, sont et restent la propriété exclusive respectivement de JANVIER LABS ou de ce tiers.

Toute information, donnée ou protocole, remis par JANVIER LABS au CLIENT appartient et/ou reste sous le contrôle de JANVIER LABS.

  1. Le CLIENT s’engage à utiliser les MODELES DE RECHERCHE exclusivement pour ses recherches internes menées sous son autorité. Il s’interdit de transférer par tout moyen et notamment vendre, céder, louer, donner ou prêter les MODELES DE RECHERCHE, leurs produits dérivés et sous-produits à de tiers. Tout transfert de MODELES DE RECHERCHE, leurs produits dérivés et sous-produits devra être préalablement autorisé par écrit par JANVIER LABS. Cet accord sera notamment conditionné, sans que cette liste de conditions ne soit exhaustive (i) à ce que le transfert soit fait sans contrepartie ; (ii) à ce que les MODELES DE RECHERCHE, leurs produits dérivés et sous-produits soient exclusivement utilisés pour un projet de recherche spécifiquement identifié et mené sous l’autorité du CLIENT ; et (iii) à ce que les règles de la nomenclature du MGI soient respectées.
  2. Le CLIENT disposera d’un droit d’usage après complet paiement des PRODUITS, et uniquement pour une utilisation conforme aux dispositions de l’alinéa 3 du présent article. Après complet paiement des SERVICES, le CLIENT bénéficiera du droit d’utiliser les informations transmises par JANVIER LABS pour ses besoins internes propres, liés à l’utilisation des RESULTATS, sans autre possibilité de les exploiter, notamment à des fins de reproduction, élevage, copie et/ou de commercialisation.
  3. Le CLIENT s’interdit de transférer le JAXTM Sperm Cryo Kit acquis auprès de JANVIER LABS, en dehors du territoire de la licence dont JANVIER LABS bénéficie : France, Autriche, Belgique, République Tchèque, Allemagne, Hongrie, Italie, Pays-Bas, Pologne, Slovaquie, Espagne, Suisse, Danemark, Finlande, Norvège, Suède, GB.

RESPONSABILITE

  1. La garantie sur les PRODUITS est limitée au remplacement ou au remboursement des PRODUITS non conformes ou affectés d’un vice.
  2. La responsabilité de JANVIER LABS, quelle que soit sa nature et la forme de l’action, est limitée aux dommages matériels, directs et certains, à concurrence du montant de la COMMANDE litigieuse uniquement.

Par conséquent, et sans que cette liste ne soit limitative, les dommages immatériels, les pertes d’exploitation et/ou les pertes de chance subis par le CLIENT, sont expressément exclus de toute indemnisation de la part de JANVIER LABS.

  1. JANVIER LABS n’est pas responsable des décisions prises par le CLIENT ou par un tiers pour le compte du CLIENT, notamment quant à son choix des PRODUITS commandés. C’est au CLIENT et à lui seul, en tant que professionnel, de juger de l’adéquation des PRODUITS qu’il a choisis, aux objectifs de ses recherches et de ses besoins.

FORCE MAJEURE

JANVIER LABS ne pourra pas être tenue pour responsable si la non-exécution ou le retard dans l’exécution de l’une quelconque de ses obligations résulte d’un cas de force majeure.

Il est expressément convenu que constituent notamment des cas de force majeure : toute difficulté de production ou d’acheminement due à des intempéries, les faits de guerre, le lock-out, la grève totale ou partielle externe ou interne ou les autres conflits de travail, les faits de terrorisme, les décisions  d’une autorité légale, l’incendie, l’inondation, l’émeute, la pandémie, la guerre, l’explosion ou les autres perturbations sérieuses de la production ou du fonctionnement de JANVIER LABS, les pannes informatiques, les changements de normes ou de réglementation notamment dans les pays de livraison ou de réalisation des PRODUITS ou des RESULTATS, les interdictions d’importer ou d’exporter, les interruptions ou ralentissements des approvisionnements ou des transports, que ces évènements affectent directement ou indirectement JANVIER LABS, ses fournisseurs ou transporteurs ; ainsi que tout évènement indépendant de la volonté de JANVIER LABS, affectant l’exécution de ses obligations.

L’exécution de l’obligation est suspendue pendant toute la durée de la force majeure. Dès la disparition de la cause de la suspension de l’obligation, JANVIER LABS fera ses meilleurs efforts pour reprendre le plus rapidement possible l’exécution normale des obligations contractuelles. Si l’empêchement est définitif ou excède un (1) mois, la COMMANDE pourra être résolue huit (8) jours ouvrés après la réception d’une lettre recommandée avec demande d’avis de réception ou tout acte extrajudiciaire mentionnant l’intention de résoudre la vente.

La suspension des obligations ou la résolution de la COMMANDE en cas de force majeure, ne pourra en aucun cas être une cause de responsabilité pour non-exécution de l’obligation en cause, ni induire le versement de dommages et intérêts ni de pénalités de retard. Pendant la suspension, chacune des Parties conserve la charge de ses frais engendrés par la situation.

ASSURANCE

Chaque Partie s’engage à souscrire une assurance garantissant sa responsabilité civile professionnelle auprès d’une compagnie d’assurance notoirement solvable.

CONFIDENTIALITÉ – PROTECTION DES DONNEES A CARACTERE PERSONNEL

  1. Toute information, donnée ou protocole transmis par JANVIER LABS au CLIENT, dans le cadre de la formation ou de l’exécution de la COMMANDE, sont considérés comme confidentiels. Toute communication à un tiers de ces documents devra préalablement être autorisée par JANVIER LABS, qui ne pourra s’y opposer que pour de justes motifs.

Cette confidentialité ne s’appliquera pas (i) aux informations qui étaient déjà disponibles publiquement préalablement à leur communication, ou (ii) aux informations reçues d’un tiers de manière licite ou (iii) aux informations qui étaient déjà en possession du CLIENT avant la COMMANDE ou (iv) aux informations dont la divulgation est prescrite par la loi.

Cette obligation est valable pendant l’exécution de la COMMANDE et pour une durée de cinq (5) ans au-delà de son exécution.

  1. JANVIER LABS, en qualité de responsable de traitement, peut procéder au stockage, au traitement et à l’utilisation des données à caractère personnel des personnes physiques intervenant pour le CLIENT, pour les besoins du contrat. Les données à caractère personnel collectées via les COMMANDES passées sont nécessaires à la gestion de la COMMANDE et à son exécution.

Ces données peuvent être communiquées par JANVIER LABS en interne, notamment au sein des équipes commerciales, techniques et administratives. Elles peuvent être destinées aux prestataires externes auxquels le responsable de traitement peut faire appel, notamment, et sans que cette énumération ne soit exhaustive, pour l’envoi des factures, le transport ou la livraison afférente à la COMMANDE. Les données ne sont pas transférées en dehors de l’Union Européenne.

Les données à caractère personnel seront conservées pendant toute la durée de validité de l’offre JANVIER LABS et de la COMMANDE, jusqu’à complète exécution des obligations respectives des Parties. Elles feront l’objet d’un archivage pour la durée de conservation des documents commerciaux fixée par la loi.

Le CLIENT, et plus particulièrement son personnel concerné, dispose d’un droit d’accès, de rectification, d’opposition, de limitation du traitement, d’effacement et de portabilité de ses données, qu’il peut exercer par courriel à l’adresse suivante contact@janvier-labs.com, en précisant ses nom, prénom, adresse et en joignant une copie recto-verso de sa pièce d’identité.

En cas de difficulté en lien avec la gestion de ses données personnelles, le CLIENT et son personnel concerné pourra adresser une réclamation auprès de la CNIL (COMMISSION NATIONALE de l’INFORMATIQUE et des LIBERTES) ou de toute autre autorité compétente.

 

Le CLIENT s’engage à informer toute personne intervenant pour son compte et notamment ses associés, représentants, salariés et préposés, de leurs droits rappelés par la présente clause.

RÉSOLUTION

  1. Par dérogation aux dispositions de l’article 1221 du Code civil, en cas de manquement de l’une des Parties à ses obligations, la Partie victime de cette défaillance ne pourra pas en demander l’exécution forcée en nature, sauf toutefois, lorsqu’il s’agit de l’obligation de paiement de sommes dues.
  2. De même, par dérogation aux dispositions de l’article 1222 du Code civil, la Partie victime ne pourra pas faire exécuter elle-même l’obligation par un tiers, aux frais de la Partie défaillante. Elle pourra toutefois demander en justice que la Partie défaillante avance les sommes nécessaires à cette exécution.
  3. Conformément à l’article 1223 du Code civil, la Partie victime de la défaillance pourra autrement notifier dans les meilleurs délais, à la Partie défaillante, sa décision d’accepter une exécution imparfaite de l’obligation, avec une réduction proportionnelle du prix ; dès lors que la mise en demeure qu’elle lui a adressée par lettre recommandée avec avis de réception motivée, est restée sans effet quinze (15) jours calendaires après sa réception.

La Partie défaillante qui entend accepter la réduction du prix fera connaitre sa décision par écrit.

A défaut d’accord entre les Parties, il sera procédé comme il est dit à l’article « DROIT APPLICABLE – COMPETENCE JURIDICTIONNELLE ».

  1. A défaut de paiement des sommes qui lui sont dues et quinze (15) jours après mise en demeure n’ayant pas conduit au paiement intégral, JANVIER LABS peut procéder à la résolution de la COMMANDE concernée, aux frais et torts du CLIENT, sans indemnité pour le CLIENT ; et nonobstant l’indemnisation du préjudice subi par JANVIER LABS, qui conservera les montants déjà perçus, en ce compris les éventuelles pénalités à valoir sur l’indemnisation de son préjudice.
  2. Les dispositions des présentes conditions générales de vente figurant dans les sections intitulées « PROPRIETE », « RESPONSABILITE », « CONFIDENTIALITE – PROTECTION DES DONNEES A CARACTERE PERSONNEL » et « DROIT APPLICABLE-COMPETENCE JURIDICTIONNELLE » resteront applicables malgré la résolution, l’annulation ou la caducité de la COMMANDE, quels qu’en soient la forme et les motifs.

DROIT APPLICABLE – COMPÉTENCE JURIDICTIONNELLE

  1. Toute question relative directement ou indirectement aux présentes CGV ou à une opération d’achat et de vente qui en découle, sera soumise au droit français, à l’exclusion de tout traité ou convention international et européenne, dont la convention de VIENNE de 1969.
  2. Les CGV sont rédigées en langue française. Dans le cas où elles seraient traduites en une ou plusieurs langues, seul le texte français fera foi en cas de litige.
  3. A défaut de règlement amiable, tout différend lié directement ou indirectement à une COMMANDE ou aux CGV sera soumis EXCLUSIVEMENT au TRIBUNAL (FRANCE) COMPETENT DU SIEGE SOCIAL DE JANVIER LABS, MEME EN CAS DE PLURALITE D’INSTANCES OU D’APPEL EN GARANTIE.
  4. Si une disposition quelconque des présentes CGV était déclarée non écrite et/ou nulle par un Tribunal ou toute autre administration ou autorité, une telle décision n’affecterait en aucun cas la validité des autres dispositions de ces CGV. Les Parties s’efforceront de parvenir à un accord sur les termes d’une clause ou partie de clause équitable pouvant remplacer celle qui aura ainsi été déclarée nulle.

JANVIER LABS is a joint-stock company under French law having a registered office in Genest Saint Isle (53940) – Route des Chênes Secs, registered with the Registry of Commerce and Companies of Laval under the number 340 663 079.

JANVIER LABS specialises in the production, breeding and sale of rodents intended for use in the framework of experimental procedures for scientific purposes (hereafter the “RESEARCH MODELS”) and their derived products. Also in the delivery of laboratory services, reproduction sciences or customized breeding and their accessory products and services, even sold individually (hereafter the “SERVICES”).

SCOPE

  1. In compliance with article L 441-1 III of the Commercial Code, the present general terms and conditions of sale (“CGV”) constitute the unique basis for the commercial relationship between the Parties.

They apply to all sales of JANVIER LABS to its customers, professional buyers (hereafter the “CUSTOMER”), of RESEARCH MODELS, derived products and sub-products or SERVICES (all together hereafter the “PRODUCTS”), such that these PRODUCTS are described in JANVIER LABS’s catalogue, (hereafter the “CATALOGUE”), as well as on its website http/www.janvier-labs.com, and/or in its quotations, bids or equivalent documents issued by JANVIER LABS.

  1. The information appearing in the CATALOGUE, brochures and the JANVIER LABS tariff are given as an indication. They can be modified at any time by JANVIER LABS.
  2. The CGVs are attached to the CATALOGUE and provided by JANVIER LABS at each order.

By placing the order, the CUSTOMER recognises having read the CGVs and accepted them unconditionally (hereafter the “ORDER”). The CUSTOMER undertakes that their employees and any third party collaborating in the research that he conducts or in which he participates, shall respect these CGVs.  Because of this, the CUSTOMER waives the right to invoke any conflicting document and in particular, its own terms and conditions of purchase.

Waivers to the present CGVs, negotiated between the Parties, must be subject to a written agreement prior to their application, validated by JANVIER LABS.

  1. The fact of not exercising at any time, a prerogative recognised by the present CGVs, or not requiring the execution of one of the clauses therein, can under no circumstances be interpreted as a modification, nor as an express or tacit renunciation of the right to exercise said prerogative or to require execution of it, in the future.

 VALIDITY OF GENERAL TERMS AND CONDITIONS

  1. JANVIER LABS reserves the possibility to modify the CGVs at any time. The new CGVs shall be applicable to ORDERS placed as of their publication.
  2. The CGVs in force are published on the JANVIER LABS website. Therefore, they are available at any time.

CREATION OF THE ORDER

JANVIER LABS can provide advice in the framework of placing the ORDER. However, as a specialised professional in the field of research, the CUSTOMER remains entirely and solely responsible for their choice of ORDER and the complete character of the information they have given to JANVIER LABS.

CUSTOMER’s duty to inform and prerequisites:

In particular concerning SERVICES to perform on biological material supplied by the CUSTOMER or by any third party at the request of the CUSTOMER (hereafter the “BIOLOGICAL MATERIAL”), the CUSTOMER undertakes to provide JANVIER LABS beforehand, in the request for quotation, all the information which they possess concerning said BIOLOGICAL MATERIAL, in particular, any difficulties of reproduction performance of the strain(s) of rodents concerned, which could have consequences for the performance of the SERVICES.

When the BIOLOGICAL MATERIAL contains GMOs, it must correspond to the risk I GMO class, to the exclusion of any other risk class. The CUSTOMER must send JANVIER LABS, a copy of the declaration receipt or a copy of the approval indicating the project(s) involving the GMOs concerned.

The BIOLOGICAL MATERIAL must be free from zoonosis.

This information supplied by the CUSTOMER with regards to the SERVICES, including the Project information sheet and the CGVs form in all cases an integral part of the ORDER.

Order:

To validate the ORDER, the offer or the quotation must be accepted in writing, even so by e-mail, and received by JANVIER LABS prior the end to the validity of the offer. The ORDER is only validly filled after its express acceptance by JANVIER LABS and payment of a possibly specified down payment.  JANVIER LABS then sends the CUSTOMER, an order acknowledgement (hereafter an “AO”). The CUSTOMER then has 12 hours in which to verify the content of the AO and to formulate any comments. In case of difference between the AO and the ORDER, the AO will prevail.

If the SERVICE requires an authorisation from the Ministère de l’enseignement supérieur et de la recherche (MESR), [Ministry of Higher Education and Research], the validity of the ORDER is subject to the authorisation granted to JANVIER LABS by the MESR.

  1. JANVIER LABS reserves the right to suspend or refuse any new order from the CUSTOMER in the event of unpaid invoices or doubts as to the CUSTOMER’s solvency, without the CUSTOMER being able to argue an unjustified refusal to sell, or claim any compensation.

 

MODIFICATION/CANCELLATION OF THE ORDER

  1. Beyond this period of 12 hours after sending the ARC, the ORDERS are irrevocable.
  2. Any modification requested by the CUSTOMER can only be taken into account in the limit of JANVIER LABS’s possibilities and at its sole discretion, if they are formulated in writing, prior to the planned delivery date or the production of the PRODUCTS concerned. JANVIER LABS may make the modification of the ORDER subject to the CUSTOMER’s signature of a specific purchase order, in particular in the event of a price and delivery time adjustment.
  3. If the CUSTOMER cancels the ORDER after the ARC, for any reason whatsoever, except for force majeure, the deposit paid will be automatically acquired by JANVIER LABS, and will be deducted from the amount of the penalties or the costs mentioned below, whichever is higher.

In any case, the CUSTOMER must pay, as appropriate:

  • For SERVICES: (i) the portion of the SERVICES already performed, (ii) any expenses incurred by JANVIER LABS in performing the SERVICE that are not subject to cancellation, and (iii) expenses and costs incurred by JANVIER LABS as a result of such Order cancellation.
  • About RESEARCH MODELS, their derived products and sub-products: a penalty calculated on the total amount of the ORDER before tax for the RESEARCH MODELS produced, derived products and by-products concerned, according to the number of working days remaining between the delivery date set by the AO and the date when JANVIER LABS receives the request to cancel the ORDER.

Thus, for ORDERS of non-mutant RESEARCH MODELS, aged less than 3 months, their derived products or sub-products mentioned in the CATALOGUE: if the request is received

  • 28 to 22 days before the date of delivery, the penalty will be 10%
  • 21 to 15 days before the date of delivery, the penalty will be 25 %
  • 14 to 8 days before the date of delivery, the penalty will be 50 %
  • 7 to 3 days before the date of delivery, the penalty will be 75 %
  • Less than 3 days before the date of delivery, the penalty will be 100 %

For ORDERS of non-mutant RESEARCH MODELS, aged 3 to 18 months, their derived products or sub-products mentioned in the CATALOGUE: If the request is received

  • 28 to 22 days before the date of delivery, the penalty will be 10%
  • 21 to 15 days before the date of delivery, the penalty will be 25 %
  • 14 to 8 days before the date of delivery, the penalty will be 75%
  • Less than 8 days before the date of delivery, the penalty will be 100 %

For ORDERS of RESEARCH MODELS, aged 19 months and more, their derived products or by-products and for any ORDERS of mutant RESEARCH MODELS, their derived products or by-products mentioned in the CATALOGUE: If the request is received

  • More than 30 days before the date of delivery, the penalty will be 50 %
  • 30 days and less before the date of delivery, the penalty will be 100 %.

For other ORDERS of RESEARCH MODELS, their derived products or sub-products non-mentioned and whose specificities are not provided for in the CATALOGUE, the penalty shall be 100%, i.e. the total amount before tax of the ORDER, regardless of the notice period.

TRANSPORT

Back-up

Prior to the transfer of BIOLOGICAL MATERIAL, the CUSTOMER must make a back-up of the corresponding strain till JANVIER LABS confirms the completion of the laboratory service or the reproductive science service, or until the first cohort of animals coming from the custom breeding service is either delivered to the CUSTOMER or to the third party designated by the CUSTOMER.

Collection of BIOLOGICAL MATERIAL

The CUSTOMER is in charge of the preparation, packaging, wrapping, and labelling of the packages in accordance with the regulations applicable in all transit countries.

The CUSTOMER must supply all the information and documents required by JANVIER LABS or the haulier, within the five (5) working days preceding the collection of the BIOLOGICAL MATERIAL. This obligation in particular concerns the authorisations required by the regulation in force concerning GMOs.

Transfer of risks

The transfer of risk and ownership of the PRODUCTS and/or the results of the SERVICES (the “RESULTS”) takes place at the agreed place of delivery, upon their physical receipt by the CUSTOMER. Unless otherwise set forth in the AO or failing clarifications on this AO, the transfer of risks on PRODUCTS or RESULTS shall proceed as per the FCA Incoterm CCI 2010. Likewise, unless otherwise stipulated in the AO or failing clarifications on this AO, the transfer of risks on BIOLOGICAL MATERIAL sent to JANVIER LABS is carried out according to DDP Incoterm CCI 2010.

DELIVERY – ACCEPTANCE

  1. Contractual deadlines are set in the AO.

Delivery delays of PRODUCTS and/or RESULTS or the execution of SERVICES cannot be a reason for the cancellation or termination of the ORDER.

  1. Upon receipt of the PRODUCTS and/or the RESULTS, the CUSTOMER shall check their apparent compliance to the ORDER and formulate their reservations on the delivery note. These reservations must be issued and confirmed in writing within three (3) days following reception, both to the carrier and to JANVIER LABS, in accordance with the provisions of the article L 133-3 of the Commercial Code concerning damage or loss during transport, and with the intention expressed here by the Parties in case of apparent non-compliance. Otherwise, the PRODUCTS and/or RESULTS are deemed to be in conformity and definitively approved without reservation by the CUSTOMER.
  2. The CUSTOMER must issue their claim without delay if there is an inherent defect in the delivered PRODUCTS and/or RESULTS, not apparent at the time of reception and which is revealed within a maximum period of fourteen (14) weeks as of the shipping date. Following the expiration of this fourteen (14) weeks’ warranty period, no claim made against JANVIER LABS for hidden defects will be considered.
  3. Allegations of non-compliance or latent defect shall only be processed by JANVIER LABS if they are made in writing, even so by e-mail, within the above-mentioned deadlines and in the appropriate forms.

It is the responsibility of the CUSTOMER as part of their claim, to provide evidence concerning the reality of the defect or the alleged non-compliance.

The CUSTOMER shall allow JANVIER LAB to conduct appropriate audits as it deems necessary, including on-site visits to the CUSTOMER, by JANVIER LABS experts.

 

  1. For sanitary reasons, no return of RESEARCH MODELS, their by-products and/or RESULTS can be made without prior consent from JANVIER LABS. If a return is agreed, only the carrier chosen by JANVIER LABS is allowed to carry out the return.

JANVIER LABS will only bear the cost of returning the goods if the duly declared anomaly has actually been noted by JANVIER LABS or its representative, and if JANVIER LABS is responsible for it.

 

  1. In any case, if an anomaly is noted, the CUSTOMER must immediately take any measure necessary to prevent an aggravation and/or propagation of this anomaly and the associated damage.
  2. The claim shall not suspend the CUSTOMER’s duty to pay for the ORDERS concerned, without prejudice to the price reduction clause, hereinafter provided for.

PRICE

1 The price of the PRODUCTS is based on the current price list. The price of an offer is valid only during the period of validity of this offer.

  1. Prices are per unit and defined for an agreed period and/or volume and/or capacity. Unless otherwise agreed in writing by JANVIER LABS, prices are net and without discount, ex works/ EX WORKS Incoterm CCI 2010 and excluding packaging, which is invoiced in addition on the basis of the CATALOGUE price. These net prices do not include transportation, customs fees, taxes, or insurance, which shall be borne by the CUSTOMER.

Taxes and duties due are calculated on the day of invoicing of the ORDERS, in compliance with the applicable texts and laws. Possible variations of the tax rate will be fully reflected in the price. Any duty, tax or collection charged on the payment of the price by the CUSTOMER will remain at their expense. The CUSTOMER must then complete the payment of the price, so that JANVIER LABS indeed receives the net agreed price.

  1. Tariffs are revised annually with effect as of January 1st. unless the AO states other provisions, the SERVICES renewed or extended shall be subject to the annual revision of prices. The price revised each year shall be set from the tariff in force for the SERVICES concerned.

 

  1. Unless expressly extended as provided for in the AO, the SERVICE shall be tacitly renewed for an indefinite period, except where one of the Parties has notified its intention not to renew the SERVICE, at least one (1) month before the end of the initial period, by a registered letter with acknowledgement of receipt. Once renewed or extended, the SERVICE ORDER may be terminated at any time, subject to a notice period of one (1) month, sent by registered letter with acknowledgement of receipt.

 

PAYMENT TERMS

  1. Unless otherwise specified in the AO, or barring a different express written agreement, accepted separately by JANVIER LABS, the price is payable in Euro by bank transfer, to the bank account indicated by JANVIER LABS.
  2. Invoices are payable thirty (30) days end of the month from their date of issue. No discount will be given by JANVIER LABS for immediate payment or payment made prior to the due date of the invoice.
  3. A down-payment can be requested for any sale of PRODUCTS.

For SERVICES, the down-payment is 50% (unless otherwise specified in the AO). The costs of transport and repatriation will be invoiced upon receipt of the BIOLOGICAL MATERIAL, in the premises of JANVIER LABS.

The down payment must be paid in cash upon the invoice receipt, and in the forms specified in paragraph 1 of this article.

  1. The payment terms granted by JANVIER LABS to the CUSTOMER depend on the CUSTOMER’s solvency, payment profile or country risk. JANVIER LABS may ask the CUSTOMER at any time, including during the completion of an ORDER, to provide its accounting documents, in particular its profit and loss accounts, even if they are forecast. Likewise, if JANVIER LABS has serious or specific reasons to fear any payment difficulties (first order, deterioration of the CUSTOMER’s account, loss or reduction of guarantee, etc.), JANVIER LABS may make acceptance or continued execution of the current and/or future ORDER(s) conditional: (i) on payment of a partial or total deposit, (ii) on the provision of a sufficient bank guarantee or (iii) on cash payment, depending on its choice.

Should the CUSTOMER refuse to communicate its accounts or does not respect the payment terms of the ORDER(S), JANVIER LABS may suspend the execution of the ORDERS in progress, and refuse to deliver or execute the PRODUCTS concerned, without the CUSTOMER being able to argue an unjustified refusal of sale, or claim any compensation.

  1. Unless expressly agreed in advance and in writing by JANVIER LABS, and provided that the reciprocal claims and debts are certain, liquid and due, no compensation may be properly enforced between any penalties payable by JANVIER LABS on the one hand, and the sums owed by the CUSTOMER to JANVIER LABS on the other.
  2. Any late payment shall by rights, accrue interest penalties according to the most recent rate of interest applied by the European Central Bank to its refinancing transaction (as of January 1st for the first half-year or July 1st for the second half-year), increased by ten (10) points, calculated on the number of late days noted, as of the 1st late day, on the sums due, until their complete payment. Payment means the day on which the entire sums due have been credited to JANVIER LABS’ account.

The CUSTOMER must also pay a flat-rate compensation of forty (40) Euro per unpaid invoice, to as recovery costs, without prejudicing the JANVIER LABS’ right to claim supplementary compensation, if the actual recovery costs exceed this amount.

These penalties shall automatically be charged to the CUSTOMER’s account.

  1. 7. Finally, in the event of non-payment of an invoice on its due date, and without prejudice to the termination clause provided for here below, JANVIER LABS may accelerate the term of all invoices issued, as well as suspend the execution of all current and future ORDERS, and/or require cash payment, after sending a formal notice that has remained without effect eight (8) calendar days after its receipt.

COMPLIANCE – GUARANTEE

  1. JANVIER LABS warrants having all the necessary administrative authorisations to exercise its activities.
  2. For its part, the CUSTOMER is responsible for the regularity of its activities, of its BIOLOGICAL MATERIAL, its research protocols and of the use of the PRODUCTS and RESULTS with regard to the law applicable to it.
  3. JANVIER LABS guarantees PRODUCTS that comply with the AO, as part of its obligation of means. It also benefits from the usual tolerances in its field.

JANVIER LABS is in no way responsible for and in relation with the composition and characteristics of the BIOLOGICAL MATERIAL.

In order to assert its rights, the CUSTOMER must, at the risk of forfeiture of any action applying to it, inform JANVIER LABS in the forms and within the deadlines set by the article “DELIVERY-ACCEPTANCE” here above.

  1. JANVIER LABS performs regular health inspections whose terms and results are accessible on its website and upon request. It undertakes to provide information strictly necessary for the proper completion and monitoring of the ORDERS. Upon delivery of the RESEARCH MODELS and/or RESULTS, JANVIER LABS delivers a health certificate corresponding to the SPF or SOPF status it has defined, and that has been chosen by the CUSTOMER when it placed its ORDER.

To perform the SERVICES ordered, JANVIER LABS alone decides on the care and criteria for using BIOLOGICAL MATERIAL with regard to AAALAC.

For animals constituting the BIOLOGICAL MATERIAL or the RESULTS, JANVIER LABS retains the possibility of euthanizing any that are suffering according to a pain matrix predefined with the JANVIER LABS’s in-house Ethics Committee. Such a pain matrix may be communicated to the CUSTOMER, upon its request.

In any case, the issuance of the sanitary certificate does not exempt the CUSTOMER from applying its own biosecurity rules and ensuring its own sanitary program.

  1. The weight and/or the age of the RESEARCH MODELS and the RESULTS indicated on the delivery notes, is their weight and/or age when they are packaging in the premises of JANVIER LABS for shipment.
  2. Concerning gestating females:
  • JANVIER LABS guarantees the gestation under conditions specific to each strain of RESEARCH MODELS presented in the CATALOGUE;
  • JANVIER LABS neither warrants the number of animals per litter nor the exact date of the parturition;
  • JANVIER LABS does not guarantee the risks of interruption of the gestation during the transport if the gestation is, either less than five (5) days (at the time of their packaging for delivery), or greater than 2/3 of the gestation time of the strain in question.

PROPERTY

  1. The CUSTOMER shall declare having the rights and documents necessary for entrusting the BIOLOGICAL MATERIAL to JANVIER LABS in order to perform the ordered SERVICES.

JANVIER LABS shall not acquire any right over the BIOLOGICAL MATERIAL and the RESULTS which are descendants, derived from the entrusted strains.

  1. The murine strains described in the CATALOGUE shall remain the property and/or remain under the exclusive control of JANVIER LABS, which shall retain all the intellectual property associated with the PRODUCTS, photos and technical documentation. These cannot be communicated nor transferred without written consent of JANVIER LABS.

Moreover, any method, protocol, know-how used while the SERVICES’ performance, and developed by JANVIER LABS or by any third party previously the SERVICES completion, are and shall respectively remain the exclusive property of JANVIER LABS or this third-party.

Any information, data or protocol provided to the CUSTOMER by JANVIER LABS shall belong to and/or remain under the control of JANVIER LABS.

  1. The CUSTOMER shall undertake to use the RESEARCH MODELS exclusively for their in-house research conducted under their authority.

It is forbidden to transfer by any means and in particular, to sell, cede, rent out, give away or lend the RESEARCH MODELS, as well as their derived products and by-products. Any transfer of RESEARCH MODELS, their derived products and by-products must beforehand be allowed in writing by JANVIER LABS. This agreement shall be conditional upon, but not limited to: (i) the transfer being made without consideration; (ii) the RESEARCH MODELS, their derivatives and by-products being used exclusively for a specifically identified research project conducted under the authority of the CUSTOMER; and (iii) the rules of the MGI nomenclature being respected.

  1. After complete payment of the PRODUCTS, the CUSTOMER shall have the right to use the said PRODUCTS, but only in a manner complying with the terms specified in paragraph 3 of this article. After complete payment for the SERVICES, the CUSTOMER is entitled to use the information transmitted by JANVIER LABS for their internal purposes, related to the use of the RESULTS, without any other possibility of using them, in particular in aim to reproduce, breed, copy and/or market them.
  2. The CUSTOMER shall not allow the transfer of the JAXTM Sperm Cryo Kit acquired from JANVIER LABS, outside of JANVIER LABS‘licenced territory: France, Austria, Belgium, Czech Republic, Germany, Hungary, Italy, the Netherlands, Poland, Slovakia, Spain, Switzerland, Denmark, Finland, Norway, Sweden, GB.

No warranty is given on the JAX tm brand products, including the sperm cryo-conservation kit.

 

LIABILITY

  1. The warranty on the PRODUCTS is limited to the replacement or reimbursement of the non-compliant or defective PRODUCTS.
  2. JANVIER LABS’ liability, regardless of the nature and form of the action, is limited to direct and certain material damages, up to the amount of the disputed ORDER only. Consequently, and without this list being exhaustive, immaterial damage, operating losses and/or losses of opportunities suffered by the CUSTOMER are expressly excluded from any compensation on the part of JANVIER LABS.
  3. JANVIER LABS is not responsible for decisions made by the CUSTOMER or by any third party on the CUSTOMER’s behalf, in particular with regard to the choice of the PRODUCTS ordered. It is up to the CUSTOMER and to the CUSTOMER alone, as a professional, to judge the suitability of the PRODUCTS he had chosen, for its research objectives and needs.

FORCE MAJEURE

JANVIER LABS cannot be held liable of the non-execution or delay in execution of any of its duties resulting from a case of Force Majeure.

It is expressly agreed that in particular the following constitute Force Majeure: any difficulty of production or shipping due to bad weather, acts of war, a lock-out, a total or partial external or internal strike, or other work conflicts, acts of terrorism, decisions from a legal authority, fire, flood, riots, pandemic, war, explosion or other serious disturbances of the production or operation of JANVIER LABS, Information Technology break-downs, changes of standards or regulations, in particular in the countries of delivery or the production of PRODUCTS or RESULTS, import or export restrictions, interruptions or the slowing of procurements or transport, whether these events directly or indirectly affect JANVIER LABS or its suppliers or hauliers, as well as any event independent of the willingness of JANVIER LABS and affecting the execution of its obligations.

The obligation completion is suspended along the Force Majeure period. As soon as the cause for the suspension of the obligation is no longer present, JANVIER LABS shall make its best efforts to restart the normal execution of the contractual obligations, as quickly as possible. If the hindrance is permanent or exceeds one (1) month, the ORDER could be cancelled eight (8) days after receipt of a registered letter with acknowledgement of receipt or any extra judicial action mentioning the intention to cancel the sale.

The suspension of the obligations or the cancellation of the ORDER because of force majeure, can neither occur any liability for non-execution of the obligation in cause, nor justify any request of damages and interest nor of late penalties. During the suspension, each Party shall bear its own expenses raised from the situation.

INSURANCE

Each Party shall undertake to take out civil liability insurance with a recognised solvent insurance company.

CONFIDENTIALITY – PERSONAL DATA PROTECTION

  1. Any information given or protocol transferred by JANVIER LABS to the CUSTOMER related to the order, shall be considered as confidential. Any communication of these documents to a third-party must be beforehand authorised by JANVIER LABS, who may refuse for just reasons.

This confidentiality shall not apply to (i) information that was already publicly available prior to its disclosure, or (ii) information lawfully received from a third party, or (iii) information that was already in CUSTOMER’s possession prior to the ORDER, or (iv) information required to be disclosed by law.

This obligation is valid during the execution of the ORDER and for a period of five (5) years after its execution.

  1. As a data controller, JANVIER LABS can stock, process and use personal data of individuals intervening for the CUSTOMER, for the needs of the contract. Personal data collected via ORDERS placed are necessary for managing the ORDER and its completion.

This data can be communicated internally by JANVIER LABS, in particular within sales, technical and administrative teams.  They may be intended for external service providers that the data controller may call upon, in particular, and without this list being exhaustive, for the sending of invoices, transport or delivery related to the ORDER. The data is not transferred outside the European Union.

Personal data shall be kept for the whole period of validity of the JANVIER LABS offer and of the ORDER until the respective execution of the obligations of the Parties. They shall be archived for the conservation period of commercial documents, set by law.

The CUSTOMER, and more particularly his staff concerned, has a right of access, rectification, opposition, limitation of processing, deletion and portability of his data, which he can exercise by e-mail to the following address contact@janvier-labs.com, specifying his name, first name, address and attaching a copy of both sides of his identity card.

In case of difficulty in connection with the management of his personal data, the CUSTOMER and his staff may file a complaint with the CNIL (COMMISSION NATIONALE de l’INFORMATIQUE et des LIBERTES) or with any other competent authority.

 

The CUSTOMER undertakes to inform all persons acting on its behalf, and in particular its partners, representatives, employees and agents, of their rights under this clause.

RESOLUTION

  1. Notwithstanding the provisions of Article 1221 of the Civil Code, in the event of a failure by one of the Parties to meet its obligations, the Party that has suffered such failure may not seek enforcement in kind, except in the case of an obligation to pay amounts due.
  2. Likewise, notwithstanding the provisions of Article 1222 of the Civil Code, the injured Party may not itself have the obligation performed by any third party, at the expense of the defaulting Party. However, it may request in court that the defaulting Party advance the sums necessary for such performance.
  3. In accordance with Article 1223 of the Civil Code, the Party that is the victim of the default of the other Party may otherwise notify it, as soon as possible, of its decision to accept imperfect performance of the obligation, with a proportional reduction in the price; as soon as the formal notice that it has sent by registered letter with reasoned notice of receipt has remained without effect fifteen (15) calendar days after its receipt.

The failing Party which intends to accept the price reduction shall have its decision known in writing.

Should the Parties fail to agree, provisions of the article “APPLICABLE LAW – JURISDICTIONAL COMPETENCE” shall apply.

  1. In the event of non-payment of the sums owed to JANVIER LABS, and fifteen (15) days after formal notice has not led to full payment, JANVIER LABS may proceed with the cancellation of the ORDER in question, at the expense of the CUSTOMER, i.e. without compensation for the CUSTOMER; and notwithstanding the compensation of the entire prejudice suffered by JANVIER LABS, which will retain the amounts already received, including any penalties to be applied to the compensation of its prejudice.
  2. The provisions of these general terms and conditions of sale appearing in the sections entitled “PROPERTY”, “LIABILITY”, “CONFIDENTIALITY – PROTECTION OF PERSONAL DATA” and “APPLICABLE LAW – JURISDICTIONAL COMPETENCE” shall remain applicable despite the rescission, cancellation or nullity of the ORDER, whatever the form or reason.

APPLICABLE LAW – JURISDICTIONAL COMPETENCE

  1. Any question directly or indirectly concerning the present CGV or an operation of purchase or sale which arises from it, shall be subject to French law to the exclusion of any International or European treaty or agreement, including the VIENNA convention of 1969.
  2. The CGVs are written in French. Although they are translated into one or more languages, only the French text shall deem authentic, in case of dispute.
  3. Failing an amicable settlement, any dispute directly or indirectly relating to an ORDER or the CGVs, shall be EXCLUSIVELY submitted to the COMPETENT (FRENCH) COURT OF THE REGISTERED OFFICE OF JANVIER LABS, EVEN IN THE CASE OF SEVERAL JURISDICTIONS OR RECOURSE IN WARRANTY.

4. If any of the provisions of the present CGVs are declared as unwritten and/or null and void by a Court or any other administration or authority, such a decision shall under no circumstances affect the validity of the other provisions. The Parties shall endeavour to reach agreement on the terms of a fair term or part of a term to replace the term so declared void.
